Quite possibly the worst section to study, nothing but checklists of consideration. I’m just planning to understand basic concepts (takeover defense examples/effect on price, dissenter rights, share blocking, cumulative voting impact, etc.).
Think that’ll be enough?
I personally did not put much emphasis on the corp governance section
Yes! Don’t get too bogged down in the lists. My model says there will be about 3 questions on exam day for that reading, which seems about right. If you understand the major concepts, you may get 2 out of those 3 questions right. Not bad for “skipping” it.
Don’t waste your time on that section, especially for Level 1 … you’ll only get a handful of questions on it at most. Read the summary (if there is one) or look up Schweser.
