Reading 27, Corporate Governance: Am I missing something?

I’m at a complete loss with Reading 27. I’ve now gone through the material twice, made notecards and generally tried to think through how we’re supposed to approach the material in this reading (i.e. I’ve tried to not let myself be lazy with a fairly dry, word-intensive subject matter) - and yet I remain completely baffled. I’m hitting approximately 50% on the EOC questions - and the ones I’m getting correct are generally just luck. Even worse, the solutions to the EOC questions just give the correct answer, without any further reasoning or justification.

Has anyone had any success pinning down HOW to think about the subject matter in this reading? This is the first time I’ve felt like a reading (and apparently how it’s going to be tested) is legitimately unfair.

If anyone has anything at all to offer, I’d be very interested to hear. Thanks.

The worst you can do is underestimate those couple of readings. They seem so out of sync with L2 in that they are mainly theory, without any calculations, and are straight boring.You either know the answer or you don’t. There is no room for intelligent guesses in these topics. For that reason I suggest read additional literature if you insist (look at footnote references) but also use Google to address specific terms. The reading is not hard, it just requires memorization.

Yeah - definitely not my best reading in the FRA/Corp Finance books for Kaplan. I read the Kaplan notes first, did concept checkers, reviewed concept checkers, did CFA eoc questions, reviewed CFA eoc questions, then did 20 questions on Qbank. I save the Qbank for last so that I can hopefully get a high score and raise my confidence and test my retention.

Kaplan Concept Checkers: 7/12

CFAI eoc: 18/25

Qbank: 15/20

Not good, so it’s just a weird topic like you said.

IMO, that’s OK. If it’s only problematic topic for you, you have a plenty of time to become the master of Coporate governance.
