A share-option plan is compensation for the employees in the form of company stock options.
Pension advisers are, well, advisers (maybe portfolio managers) for a company’s pension plan.
If boardmembers are aligned with advisers for either a share-option plan or a pension plan, they may be too strongly aligned with management, as management pays these advisers.
